Reporting to the Assistant General Counsel, the Corporate Paralegal provides general day-to-day support in the areas of general corporate matters, securities, corporate governance, and intellectual property. The ideal candidate is a detail-oriented, confident, self-motivated and creative problem solver who will work collaboratively as part of a fast-paced legal department and is able to communicate effectively with other departments within the company.


  • Prepare and assist in filing various SEC filings including, the proxy statement Forms 8-K, 10-Q, 10-K, and S-8, and experience with NYSE compliance.
  • Provide general corporate support on a wide variety of matters, including tracking pertinent operational and legal information
  • Coordinate and liaise with internal partners and outside attorneys to prepare and file various intellectual property applications, maintain an internal database of IP (including trademarks and copyrights), and meet related IP filing deadlines
  • Provide M&A due diligence support
  • Assist with the preparation, maintenance and docketing of annual and other periodic corporate reports, regulatory licensing and filings
  • Interact with outside attorneys as needed
  • Assist with research and special projects
  • Other tasks as assigned



  • Bachelor’s Degree and/or ABA Paralegal Certificate
  • Minimum of 4 years’ related experience and/or training, preferably in an in-house legal department
  • Minimum of 2 year’s Proxy “season” experience
  • Highly skilled at Microsoft Office products
  • Working knowledge of legal terminology with an appreciation of the importance of maintaining confidentiality at all times and recognition of confidential and sensitive information and documentation
  • Self-starter who is able to work independently with minimal direction
  • Demonstrated ability to manage multiple complex projects simultaneously in a fast-paced environment
  • Excellent written and verbal communication skills
  • Exceptional attention to detail and excellent organizational skills
